Important: This document describes how LitoClips operates and what you agree to when you use the service. It is not personalized legal advice. If you need advice for your situation, consult a qualified attorney.
By registering for an account, clicking “I agree,” using LitoClips, or purchasing services through the Platform, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.
“LitoClips,” “we,” “us,” and “our” mean the LitoClips service and its operators. “You” means the person or entity using the Platform. “Content” means text, images, video, audio, links, campaign briefs, handles, logos, thumbnails, metadata, and other materials you provide or authorize us to use.
You must be able to form a binding contract in your jurisdiction (typically at least 18 years old). You are responsible for activity under your account and for keeping your login credentials secure. You agree to provide information that is accurate enough for us to deliver the services you request.
All fees are earned when paid, except where required otherwise by applicable law. Payments for campaigns, subscriptions, renewals, deposits, wallet loads, or similar charges are generally non-refundable. You acknowledge that services may begin quickly after payment and that third-party costs (for example payment processors or ad platforms) may be non-reversible. If we offer a credit or partial refund in a specific case, that is discretionary and does not change this policy for other transactions.
To provide the Platform, you grant LitoClips a broad, worldwide, royalty-free license (with the right to sublicense to contractors and infrastructure providers as needed) to host, store, reproduce, distribute, publicly display, publicly perform, adapt, excerpt, caption, edit format for technical reasons, and otherwise use your Content in connection with:
You represent that you have all rights needed to grant the license above for Content you provide.
Depending on the product you purchase, you authorize us and our partners to create, configure, manage, post from, or interact through social accounts, pages, channels, storefronts, or similar presences that may reflect your name, brand, handle, likeness, voice, or materials you supply. You understand these presences may be visible to the public and third-party platforms, and platform rules may apply in addition to these Terms.
You acknowledge that growth, distribution, and creative strategy involve judgment. LitoClips and its team may choose posting angles, hooks, formats, schedules, captions, hashtags, targeting approaches, and narratives that we believe will perform, even if they differ from your preferences. You agree that you will not treat reasonable creative choices as a breach of contract.
We do not guarantee impressions, followers, revenue, rankings, virality, or any specific business outcome. Past performance on the Platform does not predict future results.
The Platform may integrate with third parties (for example social networks, analytics, or payments). Their terms and policies apply to your use of those services. We are not responsible for outages, policy changes, account restrictions, demonetization, or enforcement actions by third parties.
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless LitoClips and its owners, operators, affiliates, contractors, and personnel from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your Content; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) disputes between you and your audience, customers, sponsors, or platforms.
The Platform and all services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the fullest extent permitted by law, LitoClips will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, or similar losses, even if advised of the possibility.
To the fullest extent permitted by law, our aggregate liability for any claim arising out of these Terms or the Platform will not exceed the greater of (a) the amounts you paid to LitoClips for the specific service giving rise to the claim during the three (3) months before the event, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum permitted.
We may suspend or terminate access if we reasonably believe you violated these Terms, create risk, or must comply with law. You may stop using the Platform at any time. Sections intended to survive (including licenses to the extent exercised, disclaimers, limitations, indemnity, and dispute terms) survive termination.
We may modify these Terms by posting an updated version on the Platform. If changes are material, we may provide additional notice when reasonable. Continued use after the effective date of changes constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Unless prohibited by applicable law, you agree that exclusive jurisdiction and venue for disputes will be in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there.
